One share has one vote. Shareholders are entitled to submit items to the agenda, meet, speak and vote at the Shareholder’s Meetings.
At the Annual General Shareholders’ Meeting (AGM) the shareholders exercise their voting rights to decide on the annual report, dividend, the composition of the Board of Directors, the election of auditors, remuneration for Board members and auditors as well as on other key matters, in accordance with Swedish company legislation and SAS AB’s Articles of Association. The Shareholders’ Meetings take place in Stockholm, Solna or Sigtuna.
Every shareholder is entitled to request that a matter be addressed by the AGM. A shareholder who wishes to do so must submit a written request to the Board no later than one week before the earliest date on which notice of the meeting may be published (i.e. the request must be received no later than seven weeks prior to the AGM). Pursuant to Chapter 7 § 32 of the Swedish Companies Act, all shareholders are entitled to ask the Board of Directors and CEO questions about matters addressed during the AGM and about the financial situation of the company and the Group.
The Board may allow the shareholders to vote by post prior to a certain Shareholders’ Meeting.
